These Terms and Conditions constitute a binding legal agreement between you and Asset Vault. By accessing our arcade game asset marketplace platform, you acknowledge that you have read, understood, and agree to be bound by all provisions outlined in this document.
1. Binding Legal Agreement
These Terms and Conditions form a legally enforceable contract between you, whether an individual or entity, and Asset Vault. By using our platform, you represent and warrant that:

• You will comply with all terms, policies, and applicable laws

2.2 Prohibited Conduct
You expressly agree not to engage in any of the following prohibited activities:
• Violating or infringing upon the intellectual property rights of others
• Uploading malware, viruses, or any harmful computer code
• Engaging in fraudulent, deceptive, or misleading practices
• Harassing, threatening, or intimidating other users or staff
• Attempting to gain unauthorized access to our systems or user accounts
• Manipulating reviews, ratings, or search results
• Using automated systems to scrape or extract data without permission
• Circumventing security measures or access restrictions
• Selling or distributing assets without proper licensing authority
• Creating multiple accounts to evade restrictions or penalties
2.3 Content Standards
All content you upload, post, or transmit through our platform must:
• Be original work for which you hold all necessary rights and licenses
• Not contain illegal, obscene, or offensive material
• Accurately represent the assets being offered
• Include proper attribution for any third-party components
• Comply with our quality and technical standards
• Not violate any contractual obligations you have with third parties
2.4 Account Responsibility
You are fully responsible for all activities conducted through your account, including actions taken by anyone you allow to access your account. You must immediately notify us of any unauthorized use or security breach.
3. Warranties and Disclaimers
3.1 User Warranties
By using Asset Vault, you warrant that:
• You own or have obtained all necessary licenses for content you upload
• Your use of our services will not violate any laws or third-party rights
• Information you provide is truthful, accurate, and not misleading
• You have authority to bind any organization you represent
• You will not use our platform to distribute prohibited content
3.2 Platform Disclaimers
NO WARRANTIES: Asset Vault is provided on an "as is" and "as available" basis without any warranties of any kind, whether express or implied, including but not limited to:
• Warranties of merchantability or fitness for a particular purpose
• Warranties of non-infringement or title
• Warranties that the service will be uninterrupted or error-free
• Warranties regarding the accuracy, reliability, or quality of content
• Warranties that defects will be corrected
3.3 Third-Party Content
Asset Vault does not warrant the accuracy, quality, safety, or legality of assets listed by third-party creators. Users are solely responsible for evaluating assets before purchase and ensuring they meet their requirements.
4. Limitation of Liability
4.1 Exclusion of Damages
To the maximum extent permitted by applicable law, Asset Vault and its affiliates, officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:
• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Loss of goodwill or reputation
• Cost of substitute goods or services
• Business interruption or downtime
• Personal injury or emotional distress
This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise, even if Asset Vault has been advised of the possibility of such damages.
4.2 Maximum Liability Cap
In jurisdictions where limitations on liability are not permitted, Asset Vault's total liability to you for all claims arising from or related to these terms or your use of our services shall not exceed the greater of one hundred dollars ($100 USD) or the amount you paid to Asset Vault in the twelve months preceding the claim.
4.3 Essential Purpose
The limitations set forth in this section shall apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
5. Indemnification
You agree to indemnify, defend, and hold harmless Asset Vault and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:
• Your violation of these Terms and Conditions or any applicable law
• Your violation of any rights of another party, including intellectual property rights
• Your use or misuse of Asset Vault services
• Content you upload, post, or transmit through our platform
• Your breach of any representation or warranty made herein
• Any dispute between you and another user
• Your negligence or willful misconduct
This indemnification obligation will survive the termination of your account and your use of Asset Vault services.
6. Dispute Resolution
6.1 Informal Resolution
Before initiating any formal dispute resolution process, you agree to contact Asset Vault and attempt to resolve the dispute informally by sending written notice describing the nature and basis of the claim and the relief sought. We will make good faith efforts to resolve disputes amicably.
6.2 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
6.3 Jurisdiction and Venue
You agree that any legal action or proceeding arising from or related to these terms shall be brought exclusively in the federal or state courts located in Los Angeles County, California, and you irrevocably consent to the personal jurisdiction and venue of such courts.
6.4 Time Limitation
Any claim or cause of action arising from or related to your use of Asset Vault must be filed within one year after the claim arose, or it shall be forever barred, regardless of any statute or law to the contrary.
7. Termination and Suspension
7.1 Termination by User
You may terminate your account at any time through your account settings or by contacting our support team. Termination does not relieve you of obligations incurred prior to termination.
7.2 Termination by Asset Vault
We reserve the right to suspend or terminate your account and access to our services at any time, with or without cause, with or without notice, for any reason including but not limited to:
• Violation of these Terms and Conditions
• Fraudulent, illegal, or harmful activity
• Extended periods of inactivity
• Requests by law enforcement or regulatory authorities
• Technical or security concerns
• Unpaid fees or chargebacks
7.3 Effect of Termination
Upon termination, your right to use Asset Vault immediately ceases. Provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution shall survive termination.
8. General Provisions
8.1 Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Asset Vault regarding your use of our services.
8.2 Severability
If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to reflect the parties' intent to the extent possible.
8.3 Waiver
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms does not constitute a waiver of that right or provision.
8.4 Assignment
You may not assign or transfer these terms or your rights hereunder without our prior written consent. We may assign these terms to any affiliate or successor without restriction.
8.5 Force Majeure
Asset Vault shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, or governmental actions.
8.6 No Third-Party Beneficiaries
These terms do not create any third-party beneficiary rights except as expressly stated herein. No other person or entity shall be deemed a beneficiary of these terms.
8.7 Modifications
We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated to users with reasonable notice. Continued use after changes constitutes acceptance of modified terms.
8.8 Language
These Terms and Conditions are drafted in English. Any translation is provided for convenience only. In case of conflict between versions, the English version shall prevail.
